Job Description

The Associate General Counsel is a key member of Xometry's Legal Department, providing strategic legal advice and counsel to the company on a wide range of legal and business matters. This role requires a high-level of legal expertise, strong business acumen, and the ability to navigate complex legal and regulatory landscapes. The ideal candidate will be a proactive, results-oriented attorney with excellent communication, analytical, and problem-solving skills and the ability to thrive in a fast-paced, global environment.

Responsibilities

  • Provide legal advice and counsel to various departments on global legal and business issues
  • Draft, review, and negotiate contracts, including commercial, vendor, licensing, and employment agreements
  • Conduct legal research and analysis on global legal issues
  • Assist with corporate governance matters, including board meetings and shareholder matters
  • Advise on intellectual property matters, including trademark, copyright, and patent protection
  • Advise on employment law matters, including hiring, termination, discrimination, and harassment
  • Assist in compliance, including monitoring legislation and regulations, and implementing policies
  • Assist with drafting, reviewing, and filing required filings with the US SEC
  • Provide legal support for business development initiatives, including M&A transactions and strategic partnerships
  • Advise on and mitigate legal and regulatory risks associated with new business ventures
  • Identify and implement legal strategies to support the company's overall business objectives
  • Lead and mentor a small team of legal professionals
  • Foster a positive and inclusive work environment and provide coaching to team members
  • Delegate effectively and ensure efficient workflow within the team
  • Recruit, hire, and onboard new team members

Requirements

  • J.D. from an accredited law school and admission in good standing to practice law in at least one U.S. state
  • 10+ years of relevant legal experience with 5+ years of in-house experience, preferably within a technology company
  • Strong understanding of corporate law, commercial law, and other relevant areas of law
  • ITAR/export control knowledge preferred
  • Ability to prioritize and undertake mission critical tasks
  • Ability to communicate clearly and professionally with all levels of management
  • Strong analytical and problem-solving skills with the ability to work independently and as part of a team
  • Highly organized and able to manage multiple projects and deadlines effectively
  • Strong ethical and professional judgment
